These Terms of Sale and Terms of Service ("Terms") govern your purchase and use of products from V2 Lighting International, doing business as OPTI Lighting ("OPTI," "Company," "we," "our," or "us").

By accessing our website, placing an order, or purchasing products from OPTI, you agree to be bound by these Terms.

If you do not agree to these Terms, you should not purchase products from this website.

1. Acceptance of Terms

By placing an order with OPTI, you confirm that:

  • You are legally capable of entering into binding contracts
  • All information provided during checkout is accurate and complete
  • You agree to comply with these Terms

Any additional or conflicting terms submitted by a Buyer are rejected unless explicitly agreed to in writing by OPTI.

2. Orders and Order Acceptance

All orders are subject to acceptance by OPTI.

We reserve the right to:

  • Refuse or cancel any order
  • Limit quantities purchased
  • Restrict purchases from dealers, resellers, or distributors
  • Cancel orders suspected of fraud or unauthorized resale

An order confirmation email does not constitute final acceptance of an order.

Orders may be canceled prior to shipment at OPTI’s discretion.

3. Pricing and Payment

All prices are listed in U.S. Dollars (USD) unless otherwise stated.

Buyer agrees to pay:

  • The listed product price
  • Applicable shipping charges
  • Any applicable sales tax, import duties, or government charges

OPTI reserves the right to adjust prices prior to shipment if necessary due to:

  • Supplier cost increases
  • Freight or logistics changes
  • Tariffs or regulatory costs
  • Material cost fluctuations

4. Shipping and Risk of Loss

Buyer is responsible for providing a complete and accurate shipping address.

All shipments are made through third-party carriers.

Risk of loss transfers to the Buyer once the Products are delivered to the shipping carrier.

OPTI is not responsible for:

  • Carrier delays
  • Lost or stolen packages after carrier confirmation
  • Incorrect addresses entered during checkout

Claims for damaged or lost shipments must be filed with the carrier.

5. Delivery Estimates

Delivery dates are estimates only and are not guaranteed.

OPTI shall not be liable for delays caused by events outside our reasonable control including but not limited to:

  • Natural disasters
  • Supply chain disruptions
  • Transportation delays
  • Labor shortages
  • Government regulations
  • Power outages

6. Returns and Defective Products

Return Window

Products may be returned within 30 days of delivery.

Return Conditions

Returned items must:

  • Be unused
  • Be in original packaging
  • Include all accessories and documentation
  • Be free from damage or installation wear

OPTI reserves the right to reject returns that do not meet these conditions.

Return Authorization (RMA)

All returns require a Return Merchandise Authorization (RMA).

Returns sent without an RMA number clearly marked on the package may be refused.

Restocking Fee

Approved non-defective returns may be subject to a restocking fee of 15%.

Shipping costs are non-refundable.

7. Warranty

OPTI warrants that products will be free from defects in material and workmanship under normal use.

Warranty periods:

  • LED Products: 5 Years
  • Other Products: 1 Year

The warranty does not cover damage resulting from:

  • Improper installation
  • Electrical surges
  • Misuse or negligence
  • Unauthorized modification
  • Environmental damage
  • Use outside product specifications

OPTI's sole obligation is repair, replacement, or refund at its discretion.

8. Limitation of Liability

To the fullest extent permitted by law:

OPTI shall not be liable for any:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business
  • Loss of data
  • Installation or labor costs

Total liability shall not exceed the purchase price paid for the product giving rise to the claim.

9. Chargebacks and Payment Disputes

By completing a purchase, Buyer agrees to first contact OPTI to resolve any issue before initiating a chargeback.

Improper or fraudulent chargebacks may result in:

  • Account suspension
  • Refusal of future orders
  • Submission of evidence to payment processors
  • Recovery actions including collections and legal remedies

OPTI reserves the right to provide order records, shipment confirmations, IP logs, and communication records to financial institutions to dispute chargebacks.

10. Fraud Prevention

We reserve the right to:

  • Cancel suspicious transactions
  • Require identity verification
  • Request additional documentation before processing an order

Orders suspected of fraud may be reported to authorities.

OPTI reserves the right to cancel or refuse any order that appears to involve pricing errors, reseller abuse, fraud risk, or violations of these Terms.

11. Unauthorized Resellers

Products purchased from OPTI are intended for end-user use only unless otherwise authorized.

The following activities are strictly prohibited without written permission:

  • Reselling OPTI products
  • Selling on Amazon, eBay, Walmart Marketplace, or similar platforms
  • Exporting products for resale
  • Bulk purchasing for redistribution

Orders suspected of unauthorized resale may be canceled.

Warranty coverage may be void for unauthorized resale.

12. Minimum Advertised Price (MAP) Policy

Authorized resellers must comply with OPTI’s Minimum Advertised Price (MAP) Policy, where applicable.

Violation of MAP policies may result in:

  • Revocation of reseller authorization
  • Suspension of supply
  • Termination of business relationship

OPTI reserves the right to monitor advertised prices and enforce MAP policies at its discretion.

13. Product Descriptions

We attempt to ensure all product information is accurate.

However:

  • Images are illustrative only
  • Colors may vary by display
  • Product design updates may occur without notice

Such changes will not materially affect product performance.

14. Intellectual Property

All content on this website including:

  • Product designs
  • Images
  • Logos
  • Text
  • Graphics

is the property of OPTI or its licensors and is protected by intellectual property laws.

Unauthorized use is prohibited.

15. Marketing Communications

By purchasing from OPTI, you agree to receive transactional emails related to your order.

You may also receive promotional emails.

You may opt out of promotional emails at any time by using the unsubscribe link.

16. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

17. Dispute Resolution and Jurisdiction

Any disputes arising from these Terms that are not subject to the Binding Arbitration Agreement in Section 19 shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

You agree to submit to the jurisdiction of these courts.

18. Changes to These Terms

OPTI may update these Terms at any time.

Updated Terms will be posted on this page with a revised effective date.

Continued use of the website constitutes acceptance of the updated Terms.

19. Binding Arbitration Agreement

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the purchase of products from OPTI, the use of our website, or these Terms of Service shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, except as modified by these Terms.

The arbitration shall be conducted by a single neutral arbitrator and shall take place in Los Angeles County, California, unless the parties agree otherwise or applicable law requires another location.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

The arbitrator’s decision shall be final and binding on both parties, and judgment on the arbitration award may be entered in any court having jurisdiction.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

The parties agree that arbitration will be conducted on an individual basis only, consistent with the Class Action Waiver set forth in Section 20.

20. Class Action Waiver

To the maximum extent permitted by law, you and OPTI agree that any dispute resolution proceedings shall be conducted solely on an individual basis and not as part of any class, collective, consolidated, or representative action.

You expressly waive any right to:

  • Bring a claim as a plaintiff or class member in a class action lawsuit
  • Participate in a class-wide arbitration
  • Join or consolidate claims with the claims of any other person or entity

The arbitrator may award relief only on an individual basis and only to the extent necessary to resolve the individual claim.

If a court determines that this Class Action Waiver is unenforceable or invalid, then the arbitration provision in Section 19 shall be deemed void with respect to that dispute, and such dispute shall instead be resolved in the courts specified in these Terms.

21. Installation and Contractor Liability Disclaimer

Products sold by OPTI, including lighting and electrical components, must be installed in accordance with all applicable manufacturer instructions, safety standards, and local electrical codes.

Buyer acknowledges and agrees that installation may require the services of a licensed electrician or qualified professional, depending on the product and local regulations.

OPTI shall not be responsible or liable for any damage, injury, malfunction, or loss resulting from:

  • Improper installation
  • Incorrect wiring or electrical connections
  • Failure to follow product instructions
  • Use with incompatible electrical systems or fixtures
  • Modifications made by installers, contractors, or third parties
  • Electrical surges, voltage irregularities, or environmental conditions

The Buyer assumes full responsibility for ensuring that all installations comply with applicable local building codes, electrical codes, and safety regulations.

22. Labor and Installation Cost Exclusion

Under no circumstances shall OPTI be responsible or liable for any labor costs, installation costs, removal costs, service charges, contractor fees, or other related expenses associated with the installation, removal, replacement, repair, or servicing of any product.

Any warranty or remedy provided by OPTI is strictly limited to, at OPTI’s sole discretion:

  • Repair of the product
  • Replacement of the product
  • Refund of the original purchase price

In no event shall OPTI be responsible for reimbursing or compensating the Buyer for installation labor or contractor expenses, regardless of whether the product is determined to be defective.

23. Pricing Errors and Website Accuracy

While OPTI makes reasonable efforts to ensure that product descriptions, pricing, and other information on the website are accurate, errors may occasionally occur, including but not limited to typographical errors, pricing mistakes, or inaccurate product information.

OPTI reserves the right, at its sole discretion, to correct any errors, inaccuracies, or omissions at any time without prior notice, including after an order has been submitted.

If a product is listed at an incorrect price due to a typographical error, system malfunction, or supplier pricing error, OPTI shall have the right to refuse or cancel any orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed or payment has been processed.

If payment has already been charged for a canceled order, OPTI will issue a full refund of the amount paid using the original payment method.

OPTI shall not be liable for any damages or losses arising from pricing errors, website inaccuracies, or order cancellations resulting from such errors.

24. Product Use and Electrical Safety Limitation

Products sold by OPTI are intended to be used only in accordance with their intended purpose, specifications, and installation instructions.

Buyer agrees that it is their responsibility to ensure that all products are:

  • Used only with compatible electrical systems and components
  • Installed in accordance with manufacturer instructions
  • Installed and operated in compliance with applicable electrical codes, building codes, and safety regulations
  • Used within the rated voltage, environment, and operating conditions specified for the product

Improper use of electrical products may result in equipment damage, electrical failure, fire hazards, or personal injury.

OPTI shall not be liable for any damage, injury, loss, or claim arising from:

  • Use of a product outside its intended application
  • Installation in environments for which the product was not designed
  • Use with incompatible dimmers, drivers, transformers, or electrical systems
  • Operation outside the product’s rated voltage or electrical specifications
  • Failure to follow installation or safety instructions

Buyer assumes all responsibility and risk associated with the proper selection, installation, and use of the products.

Nothing in this section shall limit any rights that cannot be excluded under applicable law, but to the fullest extent permitted by law, OPTI disclaims liability for damages resulting from improper product use.
